Terms of Service

1. Agreement to These Terms

These Terms of Service govern access to and use of MatJurk, including the web dashboard, public catalog features, order tools, reporting, subscription tools, and any related services we provide.

By creating an account, signing in, accepting an invitation, subscribing to a plan, or otherwise using MatJurk, you agree to these Terms and to our Privacy Policy. If you use MatJurk on behalf of a business, you confirm that you are authorized to bind that business to these Terms.

If you do not agree with these Terms, you must not access or use MatJurk.

2. Definitions

  • "MatJurk," "Platform," "Service," "we," "us," or "our" means the MatJurk software-as-a-service platform and its operator.
  • "Customer," "you," or "your" means the person or business using MatJurk.
  • "Shop" means a tenant workspace, store, or business account inside MatJurk.
  • "Owner" means the primary account holder or authorized administrator of a Shop.
  • "Users" means employees, administrators, invited team members, or other persons who access a Shop.
  • "Customer Data" means business data entered, uploaded, imported, generated, or stored in MatJurk by or for a Shop, including products, inventory, orders, clients, reports, settings, and files.
  • "Plan" means a free, trial, paid, custom, or enterprise subscription package with its applicable features, limits, billing cycle, and restrictions.

3. Accounts, Access, and Security

  • You must provide accurate account, business, and contact information and keep it up to date.
  • You are responsible for safeguarding passwords, devices, sessions, API access, and any credentials used to access MatJurk.
  • You are responsible for all actions taken under your Shop and User accounts, including actions by employees, invited users, or anyone given access by you.
  • You must promptly notify us if you suspect unauthorized access, credential compromise, or misuse of your Shop.
  • We may require verification, password changes, session resets, or other security steps before allowing continued access.

4. Shop Ownership, Roles, and Permissions

MatJurk supports multiple users, roles, permissions, and tenant separation. Shop Owners and administrators decide which users may access business information and which actions they may perform.

  • Owners are responsible for assigning appropriate permissions and removing users who should no longer have access.
  • Actions performed by authorized users may affect orders, inventory, client balances, reports, products, catalogs, and settings.
  • We are not responsible for losses caused by permissions that were granted incorrectly, shared credentials, or internal business disputes.

5. Platform Features

MatJurk may include tools for product and variant management, inventory tracking, branches, warehouses, order creation, POS workflows, client records, debts and balances, public catalogs, QR catalogs, reports, WhatsApp message templates, user permissions, audit logs, trash and restore features, subscriptions, billing, settings, language and theme controls, and related functionality.

Features may change over time. We may add, improve, limit, replace, suspend, or remove features where needed for product quality, security, legal compliance, pricing, or operational reasons.

6. Subscription Plans, Limits, and Billing

  • Some features may require an active paid Plan.
  • Plans may include limits for users, products, variants, locations, monthly orders, total orders, inventory records, images, storage, or other usage metrics.
  • If a Plan limit is reached, MatJurk may block or restrict related actions until usage is reduced or the Plan is upgraded.
  • Prices, Plan names, features, included limits, trial terms, billing cycles, and renewal rules may change with reasonable notice where required.
  • Taxes, fees, currency conversion charges, bank charges, payment processor fees, and similar costs may be your responsibility unless stated otherwise.
  • Failure to pay amounts due may lead to downgrade, suspension, feature restriction, or termination of access.
  • Unless required by law or expressly stated in writing, payments are non-refundable and unused time, credits, or limits do not automatically convert to cash refunds.

7. Customer Data and Business Responsibility

You retain ownership of Customer Data. You grant MatJurk a limited right to host, process, transmit, display, secure, back up, and use Customer Data only as needed to provide, maintain, protect, support, and improve the Service.

You are responsible for the accuracy, legality, completeness, and use of Customer Data, including client information, order information, prices, taxes, balances, discounts, shipping details, stock levels, and business records.

  • MatJurk is not a tax, accounting, legal, financial, logistics, payment, or inventory audit advisor.
  • Reports, totals, balances, and analytics are tools for convenience and may depend on the accuracy of the data entered by you and your users.
  • You are responsible for keeping any required records, invoices, receipts, backups, filings, and documents required by your local laws and business obligations.

8. Public Catalogs, Bills, QR Codes, and Messaging

MatJurk may allow Shops to publish catalogs, share bills, generate QR links, and prepare communication templates. You are responsible for the content you publish or send, including product descriptions, prices, images, availability, client communications, WhatsApp messages, and any promises made to your customers.

Public links may be accessible to anyone who receives or discovers the link. You should avoid sharing sensitive information through public links unless you intend it to be visible to the recipient.

9. Acceptable Use

You agree not to misuse MatJurk or allow anyone else to misuse it. Prohibited conduct includes:

  • Using MatJurk for unlawful, fraudulent, harmful, deceptive, abusive, or unauthorized activities.
  • Uploading malware, exploit code, harmful files, illegal content, or content that violates third-party rights.
  • Attempting to bypass authentication, permissions, rate limits, tenant isolation, Plan limits, billing restrictions, or security controls.
  • Scraping, probing, scanning, stress testing, reverse engineering, copying, or attempting to derive source code except as permitted by law.
  • Interfering with the Service, infrastructure, networks, APIs, databases, or other customers.
  • Sending spam, abusive messages, misleading commercial communications, or unlawful marketing.
  • Using MatJurk to store data you are not legally permitted to collect, process, or share.

10. Intellectual Property

  • MatJurk and its software, interface, design, code, workflows, branding, documentation, and platform materials are owned by MatJurk or its licensors.
  • These Terms do not transfer ownership of MatJurk intellectual property to you.
  • You may not copy, resell, sublicense, redistribute, frame, clone, or create a competing service from MatJurk except with our prior written permission.
  • You retain ownership of your Customer Data, business names, product content, images you upload, and other materials you lawfully provide.
  • Feedback, suggestions, or ideas you provide may be used by us without restriction or obligation to compensate you.

11. Third-Party Services

MatJurk may integrate with or link to third-party services such as hosting providers, payment processors, email services, file storage, analytics tools, WhatsApp links, browser features, or other external systems.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party downtime, policy changes, charges, errors, or data practices.

12. Service Availability, Maintenance, and Changes

  • We aim to provide a reliable Service, but we do not guarantee that MatJurk will always be uninterrupted, error-free, secure, or available at all times.
  • Maintenance, upgrades, security work, provider outages, internet failures, force majeure events, bugs, or emergency changes may interrupt or limit access.
  • We may deploy updates, migrations, fixes, or design changes without prior notice where needed for security, stability, or product improvement.
  • Beta, experimental, preview, or newly released features may change, break, or be discontinued.

13. Suspension and Termination

We may suspend, restrict, or terminate access to all or part of MatJurk if:

  • You violate these Terms or the Privacy Policy.
  • Payment fails or a subscription becomes overdue.
  • We detect security risk, fraud, abuse, excessive usage, or harmful activity.
  • We are required to do so by law, court order, provider requirement, or government request.
  • Your use creates risk for MatJurk, other customers, infrastructure, or third parties.

14. Data Export, Retention, and Deletion

During an active subscription, you may access and export available Customer Data through the features we provide, subject to permissions and technical availability.

After cancellation, termination, downgrade, or inactivity, Customer Data may be retained for a limited period and then deleted, anonymized, archived, or restricted according to our retention practices, legal obligations, backup cycles, and operational needs.

You should maintain your own backups of critical business records. MatJurk is not responsible for your failure to export or preserve data you need.

15. Confidentiality

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only for purposes related to providing or using MatJurk.

Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.

16. Warranties and Disclaimers

To the maximum extent permitted by law, MatJurk is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, completeness, and error-free operation.

You are responsible for deciding whether MatJurk is suitable for your business, legal, accounting, tax, operational, and compliance needs.

17. Limitation of Liability

To the maximum extent permitted by law, MatJurk and its owners, operators, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of goodwill, data loss, inaccurate records, inventory mismatch, customer disputes, or procurement errors.

To the maximum extent permitted by law, our total liability for claims relating to MatJurk will not exceed the amounts paid by you to MatJurk for the Service during the three months before the event giving rise to the claim, or the minimum amount required by applicable law if a limitation is not permitted.

18. Indemnification

You agree to defend, indemnify, and hold MatJurk harmless from claims, damages, losses, liabilities, penalties, costs, and expenses arising from your Customer Data, your business operations, your users, your violation of these Terms, your violation of law, or your infringement of third-party rights.

19. Governing Law and Disputes

These Terms are governed by the applicable laws of the jurisdiction in which the MatJurk platform operator is registered, unless mandatory consumer or local laws require otherwise.

Before starting formal proceedings, the parties should try in good faith to resolve disputes by contacting support and providing a reasonable description of the issue.

20. Changes to These Terms

We may update these Terms from time to time. When changes are material, we may provide notice through the Service, email, login screen, or another reasonable method.

The "Last updated" date shows when these Terms were most recently revised. Continued use of MatJurk after changes become effective means you accept the updated Terms.
